Terms of Service

These Terms of Service ("Terms") govern your access to and use of Simple Observations™ and any related services (the "Service") provided by Nuvar Solutions LLC ("Nuvar", "we", "us"). By creating an account, accessing, or using the Service, you agree to these Terms.

1. The Service

The Service helps organizations capture field observations (including photos and written notes), generate AI-assisted follow-up prompts, route follow-ups by email, and produce dashboards and reports. The Service is provided as a hosted SaaS platform.

2. Eligibility and Account Responsibility

  • You must be authorized by your employer or organization to use the Service on its behalf.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You agree to provide accurate information and keep your account information current.

3. User Content

You retain ownership of content you upload or submit to the Service, including photos, notes, and closeout comments ("User Content"). You grant Nuvar a limited, non-exclusive license to host, process, transmit, and display User Content solely to operate, maintain, and improve the Service.

4. AI and Safety/Regulatory Disclaimer

  • AI outputs are guidance only and may be incomplete, incorrect, or not applicable to your situation.
  • The Service does not guarantee regulatory compliance and does not provide legal, engineering, or professional safety advice.
  • You are solely responsible for verifying conditions on site and complying with all applicable laws, regulations, and standards.

5. Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, or fraudulent activity.
  • Upload content that infringes intellectual property or privacy rights of others.
  • Attempt to reverse engineer, scrape, disrupt, or bypass security or access controls.
  • Transmit malware or attempt to probe, scan, or test vulnerabilities without authorization.
  • Use the Service to make or support high-risk decisions without qualified human review.

6. Subscriptions, Payments, and Billing

  • Paid plans renew automatically unless canceled, as described in your plan and billing settings.
  • You authorize us and our payment processors to charge applicable fees and taxes.
  • If payment fails, we may suspend or restrict access until payment is resolved.
  • Plan changes and cancellations may take effect immediately or at the end of a billing period, depending on your plan.

7. Suspension and Termination

We may suspend or terminate access to the Service (in whole or in part) if we reasonably believe you violated these Terms, created security risk, or used the Service in a way that could harm Nuvar, other customers, or third parties.

8. Intellectual Property

The Service, including software, UI, workflow design, and documentation, is owned by Nuvar and protected by intellectual property laws. These Terms do not grant you any rights to Nuvar trademarks or brand assets except as necessary to use the Service.

9. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUVAR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION. NUVAR’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Venue for any dispute will be in state or federal courts located in Texas.
